1. PLATFORM STATUS

Lowkye is a neutral technology platform that enables users to upload, distribute, and monetize content.

Lowkye is not:

  • A publisher, broadcaster, or distributor
  • A production company or studio
  • A financial institution, bank, or escrow agent
  • An agent, fiduciary, or partner of any user

All content is user-generated and controlled solely by users.

2. USER CONTENT & FULL LIABILITY SHIFT

Users are solely responsible for all content uploaded.

You represent and warrant that:

  • You have secured all worldwide rights and licenses
  • Your content does not violate:
    • Copyright laws
    • Music licensing rights
    • Publicity or likeness rights
    • Privacy laws
    • Any applicable regulations

Lowkye has no obligation to monitor, verify, or enforce legality of content.

3. ZERO LIABILITY CLAUSE

To the fullest extent permitted by law:

Lowkye shall have no liability whatsoever for:

  • User-generated content
  • Intellectual property violations
  • Music licensing violations
  • Defamation or misrepresentation
  • Unauthorized use of identity

4. GLOBAL LICENSE TO LOWKYE

By uploading content, you grant Lowkye a:

  • Worldwide
  • Non-exclusive
  • Royalty-free
  • Transferable
  • Sublicensable

license to:

  • Host
  • Distribute
  • Display
  • Promote
  • Monetize

your content across all media formats.

5. MONETIZATION, PAYOUTS & VIRAL COMMISSION SYSTEM

Lowkye provides monetization tools, including:

  • Paid content access
  • Revenue sharing
  • Multi-tier commission structures

You agree:

  • All payouts are conditional and revocable
  • Lowkye may:
    • Delay payments
    • Withhold funds
    • Reverse transactions
    • Adjust payout percentages

All calculations and distributions are determined solely by Lowkye

6. PAYMENT PROCESSING & FINANCIAL DISCLAIMERS

Lowkye uses third-party payment providers (e.g., Stripe).

Lowkye:

  • Is not a payment processor
  • Does not guarantee payment completion
  • Does not hold funds as a fiduciary

Lowkye is not liable for:

  • Chargebacks
  • Payment failures
  • Fraudulent transactions
  • Processor holds or delays

7. FRAUD, RISK, & RESERVE RIGHTS

Lowkye reserves the right to:

  • Place reserves on accounts
  • Delay payouts
  • Freeze or suspend accounts
  • Reverse earnings

If it detects:

  • Suspicious activity
  • Fraud risk
  • Abnormal monetization behavior
  • Regulatory concerns

8. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Lowkye from:

  • All claims
  • Legal disputes
  • Regulatory actions
  • Financial liabilities

Including:

  • Attorneys' fees
  • Settlements
  • Judgments

This obligation survives account termination.

9. DMCA & SAFE HARBOR COMPLIANCE

Lowkye operates as a passive hosting provider.

Lowkye:

  • Removes content upon valid DMCA notice
  • Terminates repeat infringers
  • Does not proactively monitor content

10. PLATFORM CONTROL & TERMINATION

Lowkye may:

  • Remove any content
  • Suspend or terminate accounts
  • Restrict access

At any time, for any reason, without notice

11. NO WARRANTY

Lowkye is provided “AS IS” and “AS AVAILABLE”.

No guarantees regarding:

  • Earnings
  • Platform uptime
  • Content legality
  • System performance

12. LIMITATION OF LIABILITY

Lowkye shall not be liable for:

  • Indirect or consequential damages
  • Lost profits
  • Business interruption

Total liability = $0 or amount paid in last 12 months (whichever is lower)

13. ARBITRATION & CLASS ACTION WAIVER

  • All disputes resolved via binding arbitration
  • Users waive:
    • Jury trials
    • Class actions

14. INTERNATIONAL USE & GDPR-STYLE RIGHTS

Users outside the U.S. acknowledge:

  • Data may be transferred to the United States
  • Different legal protections may apply

Where applicable, users may request:

  • Access to data
  • Deletion of data

15. APP STORE COMPLIANCE (APPLE / GOOGLE)

Purchases made via mobile apps may be subject to:

  • Apple App Store terms
  • Google Play terms

Lowkye is not responsible for:

  • In-app purchase restrictions
  • Platform fees
  • App store payment rules

16. TAXES & FINANCIAL COMPLIANCE

Users are solely responsible for:

  • Taxes
  • Reporting earnings
  • Legal compliance

Lowkye does not provide tax or financial advice.

17. FORCE MAJEURE

Lowkye is not liable for:

  • System outages
  • Cyberattacks
  • Government actions
  • Payment disruptions

18. GOVERNING LAW

California law governs all disputes.

DMCA POLICY

To file a claim, submit:

  • Legal name + signature
  • Description of copyrighted work
  • URL of infringing content
  • Statement under penalty of perjury
